Privacy Agreement
1. Purpose
The purpose of this Agreement is to outline the privacy and confidentiality obligations of PHI Billing Assistants with respect to the information and data provided by the Client.
- Confidential Information
2.1. Client’s Data
The Client acknowledges that PHI Billing Assistants may have access to confidential and sensitive information (“Client’s Data”) during the course of providing virtual assistant services.
2.2. Non-Disclosure Obligation
PHI Billing Assistants agrees to keep all Client’s Data confidential and not to disclose, distribute, or disseminate it to any third party without the prior written consent of the Client.
- Data Security Measures
3.1. Reasonable Safeguards
PHI Billing Assistants agree to implement and maintain reasonable safeguards to protect the confidentiality, integrity, and availability of Client’s Data.
3.2. No Liability for Client’s Data Security
PHI Billing shall not be held liable for any unauthorized access, use, or disclosure of Client’s Data, as it is the Client’s responsibility to implement appropriate security measures on their end.
- Limited Use of Data
4.1. Use for Service Purposes Only
PHI Billing agrees to use Client’s Data solely for the purpose of providing virtual assistant services and will not use the data for any other purpose without the prior written consent of the Client.
- Data Retention
5.1. Client’s Control
PHI Billing will follow the data retention policies provided by the Client and will not retain Client’s Data beyond the agreed-upon period or after the termination of services.
- Indemnification
6.1. Client’s Responsibility
The Client agrees to indemnify and hold PHI Billing harmless from any claims, damages, or losses arising out of the Client’s failure to implement adequate security measures or any breach of their own data protection obligations.
- Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of On. Any disputes arising under or in connection with this Agreement shall be resolved in the courts of Ontario, Canada.
- Miscellaneous
8.1. Amendments
This Agreement may only be amended in writing and signed by both parties.
8.2. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, oral or written.
